Restricted “clogged” share schemes are a tax-efficient way to reward key employees by granting shares subject to a holding period. These restrictions reduce the initial tax burden, with greater relief for longer retention periods. Typically used to retain and incentivise senior staff, the shares are held in trust and cannot be sold during the “clog” period, after which they may be disposed of, often triggering capital gains tax.

Share option schemes let employers reward and retain key talent through equity, with flexible rules on vesting, leavers, and exercise terms. Companies may also choose the Revenue‑approved SAYE scheme, offering potential tax relief but with stricter requirements. Understanding both structures helps employers balance flexibility, compliance, and employee incentives.

Employers rely on key staff whose skills and vision drive long‑term success. The KEEP scheme offers a tax‑efficient way to reward and retain these employees by granting share options at a fixed price, with no income tax on exercise and CGT only on disposal. Extended to 31 December 2028, KEEP supports SMEs seeking to align employee and shareholder goals.
